4. Fees and Payment Terms
The fees for our services will be outlined in the contract or agreement provided prior to the commencement of any project. All payments are due as outlined in the agreement, and any delays in payment may result in suspension of services until payment is made.
We accept payment through various methods as described in the applicable contract, including but not limited to bank transfers, credit cards, or other agreed-upon methods. All payments must be made in the currency specified in the contract or invoice.
5. Confidentiality and Data Protection
We value the privacy and confidentiality of your information. We agree to maintain the confidentiality of all confidential information you provide to us and to use it solely for the purposes of performing the agreed-upon services.
Techwise Consulting Ltd will take all reasonable steps to ensure the protection of your data. However, by using our services, you acknowledge and agree that no method of transmission or storage is completely secure. We do not accept liability for any unauthorized access or disclosure of your personal or business data.
6. Intellectual Property
Unless otherwise agreed upon in writing, all intellectual property rights, including copyrights, trademarks, patents, and proprietary rights, in the work produced by Techwise Consulting Ltd during the course of providing services will remain the property of Techwise Consulting Ltd.
If you wish to retain ownership of any work or intellectual property produced during the course of a project, this must be explicitly stated in the contract, and the necessary terms will be negotiated.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Techwise Consulting Ltd will not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, loss of business, or loss of data, arising out of or in connection with the use of our services.
Our total liability to you for any claim arising under these Terms shall not exceed the total amount paid by you for the specific services giving rise to the claim, up to a maximum of the amount paid by you in the last three (3) months prior to the event leading to the claim.
8. Termination of Services
Either party may terminate the provision of services upon written notice, subject to any terms agreed upon in the applicable contract. Upon termination, all outstanding payments for services provided up until that point must be settled by the client.
If Techwise Consulting Ltd terminates the services due to a breach of these Terms or any agreement, we reserve the right to suspend or stop providing services immediately. The client remains responsible for payment for any services rendered up until the point of termination.
9. Indemnity
You agree to indemnify and hold harmless Techwise Consulting Ltd, its employees, officers, and affiliates, from and against any claims, liabilities, damages, or expenses (including reasonable attorney’s fees) arising out of your breach of these Terms or any applicable law.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the country or state in which Techwise Consulting Ltd operates. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of a mutually agreed-upon arbitration association.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
11. Modifications to the Terms
Techwise Consulting Ltd reserves the right to modify or amend these Terms at any time. Any changes will be posted on this page, and the updated date will be reflected at the top of the document. By continuing to use our services after any such changes, you agree to the updated Terms.
